Terms and Conditions


Please note that entry in the Clipstar competition is subject to these terms and conditions, the Website Terms of Use and the Clipstar Privacy Policy. Therefore please read these documents carefully before submitting your entry. By entering this competition you are deemed to accept these terms and conditions.

All references in these terms and conditions: to the "Website" refer to this Website www.clipstar.com; to "you" and "your" are to you; and to "we", "us" and "our" are to U-Star Management Limited t/a Clipstar.

1 Introduction

1.1 This competition is being run by U-Star Management Limited t/a Clipstar. Please direct all correspondence in connection with the competition to Clipstar at info@clipstar.com.

1.2 Please retain a copy of these terms and conditions for your reference.

2 Eligibility

2.1 This competition is open to persons aged 16 years of age and over, excluding employees of Clipstar, their families, agencies, or any other person professionally connected with the competition.

2.2 Participants who enter this competition from outside the United Kingdom confirm by entering the Clipstar competition that they have not breached any laws in their country of residence by entering this competition. Clipstar does not accept any responsibility for entrants who enter this competition unlawfully.

2.3 Failure to comply with any of these terms and conditions will result in the disqualification of your Entry (see condition 3.1 below for definition of "Entry") and Clipstar reserves the right to disqualify any Entry, at any time, in its absolute discretion.

3           To Enter

3.1           To enter the Clipstar competition you must firstregister on our Website. If you register on our Website, you will also beentitled to submit one vote per video entry for free. (Please see section 5:Voting, for further information). The aim of the Clipstar competition is toallow users to share their home-made videos with other users, who may then votefor their favourite video.Inorder to enter the competition, you must upload to the Website a video whichfalls into one of the following categories: Music, Film, Comedy, Sport or AnyOther (the "Entry").Entries must not exceed 10 minutes in length or 250MB in size.

3.2           You should choose the category in which yourvideo should be entered. You should only enter the video in a category if youconsider it to be relevant to that category. By “relevant”, we mean that whenother users view the Entry, the majority of users would be likely to agree thatthe Entry should be entered in that category. If the Entry does not relatedirectly to categories such as Music, Film, Comedy or Sport, you should enterit in the “Any Other” category.

3.3           You may enter as many Entries in as manyQualifying Rounds as you choose, however, if you have entered more than one Entryin any Qualifying Round, only one Entry may proceed to the nextElimination Round (please refer to condition 4.3 below for further information).

3.4           If you have already received a prize in anElimination Round during the relevant annual competition period (and havetherefore secured a place in the Grand Final for that annual competitionperiod) then you MAY NOT enter any further Entries in a Qualifying Round duringthat same annual competition period. Clipstarreserves the rights at its sole discretion to disqualify any Entry which is inbreach of this condition.

3.5           Any entrant that has previously been announcedas the winner of a Clipstar.com Grand Final MAY NOT compete in any subsequentClipStar.com annual competition. Clipstarreserves the right at its sole discretion to disqualify any Entry which is inbreach of this condition.

3.6           All Entries are subject to the Website Terms ofUse and by entering the Clipstar competition, you warrant and represent thatyour Entry complies with those Terms of Use.

3.7           We reserve the right to remove without noticeand at our sole discretion any Entry which we consider to be in breach of theWebsite Terms of Use.


4 To Win

4.1 The competition will start at 12:00 GMT on 24th August 2009 ("Start Date") and will end at 16:00 GMT on 22nd September 2010 ("End Date"). The competition will be divided into 12 Qualifying Rounds, 4 Elimination Rounds and 1 Grand Final, as set out below:


(a) Qualifying Round 1 starting at 12:00 GMT 24th August 2009 and ending at 20:00 GMT 22nd September 2009;

(b) Qualifying Round 2 starting at 20:01 GMT 22nd September 2009 and ending at 20:00 GMT 21st October 2009;

(c) Qualifying Round 3 starting at 20:01 GMT 21st October 2009 and ending at 20:00 GMT 19th November 2009;

(d) Elimination Round 1 starting at 20:01 GMT 19th November 2009 and ending at 20:00 GMT 26th November 2009;

(e) Qualifying Round 4 starting at 20:01 GMT 26th November 2009 and ending at 20:00 GMT 28th December 2009;

(f) Qualifying Round 5 starting at 20:01 GMT 28th December 2009 and ending at 20:00 GMT 26th January 2010;

(g) Qualifying Round 6 starting at 20:01 GMT GMT 26th January 2010 and ending at 20:00 GMT 24th February 2010;

(h) Elimination Round 2 starting at 20:01 GMT 24th February 2010 and ending at 20:00 GMT 3rd March 2010;

(i) Qualifying Round 7 starting at 20:01 GMT 3rd March 2010 and ending at 20:00 GMT 1st April 2010;

(j) Qualifying Round 8 starting at 20:01 GMT 1st April 2010 and ending at 16:00 GMT 4th May 2010;


(k) Qualifying Round 9 starting at 16:01 GMT 30th April 2010 and ending at 16:00 GMT 1st June 2010;


(l) Elimination Round 3 starting at 16:01 GMT 1st June 2010 and ending at 16:00 GMT 7th June 2010;


(m) Qualifying Round 10 starting at 16:01 GMT 7th June 2010 and ending at 16:00 GMT 5th July 2010;


(n) Qualifying Round 11 starting at 16:01 GMT 5th July 2010 and ending at 16:00 GMT 3rd August 2010;

(o) Qualifying Round 12 starting at 16:01 GMT 3rd August 2010 and ending at 16:00 GMT 8th September 2010;


(p) Elimination Round 4 starting at 16:01 GMT 8th September 2010 and ending at 16:00 GMT 15th September 2010;


(q) Grand Final starting at 16:01 GMT 15th September 2010 and ending at 16:00 GMT 28th September 2010.


4.2           Entries may be submitted in any or allQualifying Rounds, but note condition 4.5 below. For the avoidance of doubt,Elimination Rounds and the Grand Final are not Qualifying Rounds. In eachQualifying Round, Elimination Round and the Grand Final, users will vote fortheir favourite Entry. In each Qualifying Round, subject to conditions 3.3 and4.3, the top five Entries from each category that have obtained the highestnumber of valid votes during the relevant voting period (the “Top 5”) willsecure a place in the next Elimination Round which takes place.

4.3           Note that if you have entered more than one Entryin any Qualifying Round, only one entry shall secure a place in the nextElimination Round. Therefore, if at the end of a Qualifying Round, you havemore than one Entry in the Top 5 in any category, or across a number ofcategories, the Entry which has received the most votes out of all your Entriesin that Qualifying Round shall secure a place in the next Elimination Round.

4.4           In each Elimination Round, all votes that anEntry has received in the relevant Qualifying Round will be deleted and allEntries will begin the Elimination Round with zero votes. The top Entry in eachcategory which has obtained the highest number of valid votes during therelevant voting period will win US $2,000 and will be entered into the GrandFinal. The winning Entry from each category in any Elimination Round cannot besubmitted in a subsequent Qualifying Round or Elimination Round.

4.5           At the end of each Qualifying Round andElimination Round, all Entries, with the exception of the winning Entries, willautomatically be entered into the next Qualifying Round within the chosencategory unless the entrant chooses not to enter it by ticking the box in theEdit Video Section of the Website or contacts Clipstar at delete@clipstar.com to confirm that theydo not want their Entry to be automatically re-entered into the next QualifyingRound. For the avoidance of doubt, all votes that an Entry has received in therelevant Qualifying Round will be deleted and all Entries will begin theElimination Round with zero votes.

4.6           The Grand Final will consist of the winning fiveEntries from each Elimination Round, up to a total of 20 Entries. However,during the Clipstar 2009/2010 competition, up to a maximum of 18 previouswinners from the 2007/2008 competition may also be included in the Grand Final,taking the total number of Entries to a maximum of 38. Note that the GrandFinal is across all categories and is not run on a per category basis.

4.8  All votes that an Entry has received prior to the Grand Final will be deleted and all Entries will begin the Grand Final with zero votes. The winner of the Grand Final will be the Entry which has obtained the highest number of valid votes across all categories during the voting period for the Grand Final. There is one prize available in the sum of $100,000 for the winning Entry for the Grand Final. The $100,000 prize is a fixed amount and will be paid over a period of five years in annual installments of $20,000 per year (on the anniversary of the date the prize was claimed) for the stated period. Please be aware that NO INTEREST on the prize money ($100,000) shall be accrued by the winner or become payable to the winner on the $100,000 prize money during the five year payment period or whilst any amount of the $100,000 prize money remains owing to the winner.

4.9 In the event of a tie between winning Entries in any Qualifying Round, Elimination Round or the Grand Final, the voting period will be extended by a further 24 hours in respect of the tied Entries. In the event that the voting period for any Qualifying Round or Elimination Round is extended by a further 24 hours pursuant to this condition 4.9, the start dates and closing dates for each subsequent Qualifying Round, Elimination Round and the Grand Final shall be extended by a further 24 hours accordingly and the revised dates shall be published on the Website.

4.10 Winning Entries must comply with these terms and conditions and the Website Terms of Use and must not contain any Inappropriate Content (as defined in condition 5.3 of the Website Terms of Use). Clipstar reserves the right at its sole discretion to disqualify any Entry which appears to be in breach of this condition. Clipstar's decision in this respect will be final and no correspondence will be entered into regarding such decision.

4.11 The winners and the winning Entries will be announced in the Winners section on the Website (together with the results of any previous competitions carried out by Clipstar) within 72 hours of the end of the Elimination Round or the End Date, as appropriate, subject to Clipstar's right to examine or verify information provided in the Entry or by the entrant. Winners must claim their prize within fourteen (14) days of being informed that their Entry is a winning Entry. In order to claim a prize, the winner must email winner@clipstar.com within such 14 day period providing the following information:

Full name
Date of birth
Home address including post/zip code
Contact telephone number
Contact email address
Photo identification (passport, drivers licence or ID card)
Bank account details (including name and address of the receiving bank, account name, sort code & account number OR International Banking Number (IBAN)

AND

Provide Clipstar, by way of uploading onto Clipstar.com and emailing winner@clipstar.com with the URL, with an original video made and starring you (the winner) which includes information about what you are going to do with the prize, some more information about you as a person and thanking all those that voted for you as well as Clipstar for running the contest.

On receipt of such information (detailed above), Clipstar may use such methods as are reasonably required in order to verify the accuracy of the information provided.

5 Voting

5.1 By voting in the Clipstar competition you are deemed to accept these terms and conditions, the Clipstar Privacy Policy and the Website Terms of Use.

5.2 You may vote at any time after the Start Date and before the End Date. Any votes received before or after these times will not be registered.

5.3 Those who have registered with us shall be entitled to submit one vote online per Entry for free by clicking on the "vote" button under your favourite Entry. If you wish to vote more than once for an Entry, you may vote via our Premium Voting System for which there will be an additional charge, as set out in condition 5.4 below.

5.4 If you are not registered with us, you may vote using our Premium Voting System, which allows you to vote by phone (PRTS), text message (PRSMS) at the numbers set out on our Website www.clipstar.com/online-voting or via the online pay vote system located at www.clipstar.com/vote. Please note that only users based in the UK may vote via PRTS and only users based in the UK and US may vote via PRSMS. All votes placed using our Premium Voting System will be charged at the rates set out on our Website, as amended from time to time. You must always seek permission from the person responsible for paying the phone bill. If you have any questions about voting that are not answered on www.clipstar.com/online-voting please email vote@clipstar.com.  

6 Ownership of Entries

6.1 All Entries submitted as part of the Clipstar competition shall remain the property and copyright of the entrant. By entering this competition, the entrant hereby grants to Clipstar, its sub-licensees and assignees, a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence to use the Entry for any purpose and in any media whatsoever including the right to assign, sub license or transfer the rights to a third party.

7 Disclaimer

7.1 Clipstar will not be liable for any inability to enter the Clipstar competition or vote for any Entries due to any interruption or delay to your access to the Website for any reason.

8 Winner Publicity

8.1 Entrants accept that if they win any prize, Clipstar will have the right to use their name, age, town or city of residence and photograph for the purposes of announcing the winner of the competition and for promotional purposes.

8.2 By entering the Clipstar competition you agree that Clipstar may contact you from time to time in the future about our other services.

9 General

9.1 If any of these terms and conditions or any provisions of a contract between you and us are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

9.2 You and we acknowledge that, in entering into a contract, you have not and we have not relied on any representation, undertaking or promise given by the other or implied from anything said or written in negotiations between you and us prior to such contract except as expressly stated in these terms and conditions.

9.3 The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions. No party who is not a party to these terms and conditions shall have the right (whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise) to enforce any term which expressly or by implication confers a benefit on that person without the prior written consent of the parties which must refer to this condition 9.3.

10 Law and Jurisdiction

10.1 These terms and conditions shall be governed by, and construed in accordance with, English law and shall be exclusively subject to the jurisdiction of the courts of England.
